Susan Zhou passed the National Bar Examination in 2000, and officially started her legal practice at a law firm in early 2002. With qualification as an independent director of listed companies, she specializes in corporate and investment-financing legal services. She boasts extensive practical experience in the range of company legal service areas, including regular corporate legal services, equity investment and financing, mergers and acquisitions (M&A), equity incentives, private equity funds, due diligence, and labor and personnel matters. She excels in handling complex and challenging equity structures, investment-financing transactions, as well as corporate litigation and arbitration. In particular, she demonstrates exceptional capability in designing transaction legal frameworks, ensuring compliance, and managing risks.


Susan Zhou’s team has assisted numerous strategic emerging enterprises in sectors such as healthcare, new materials, new energy, and new technologies. During different development stages of these enterprises, the team has supported them in securing investments from prominent investors, including Sequoia Capital, IDG Capital, Innovation Works, Songshan Lake Robotics, Morningside China, government funds, industrial funds, and private equity funds. Additionally, the team has provided legal assistance to foreign-funded enterprises, state-owned enterprises, and shareholders of listed companies in their M&A activities, private placements, financing, and investment projects. This involves designing transaction plans and resolving various difficult issues such as inward guarantee for overseas loans, foreign exchange matters, capital contribution, and exit strategies, with the total transaction value amounting to billions of yuan.


Susan Zhou holds a bachelor’s degree from Northeastern University and a master’s degree from Shanghai Jiao Tong University. She has obtained the TEM-8 (Test for English Majors-Band 8) certification and is capable of providing legal services in both Chinese and English.


Meanwhile, Lawyer Zhou serves as a part-time master’s supervisor at Shanghai University of International Business and Economics, an off-campus supervisor for postgraduates majoring in Legal Master (Foreign-related Law) at Shanghai University of Political Science and Law, and an entrepreneurship mentor for platforms including Wusongkou Entrepreneurship Park and Shanghai Technology Entrepreneurship Foundation for Graduates.
